Terms of Service

These Terms of Service ("Terms") govern your use of Taskwright, a business management system provided by TSH Digital Ltd ("we", "us", "our"), a company registered in England and Wales (company number 08539183), registered office Westwood, High Street, Codford, Warminster, BA12 0NB.

By signing up for or using Taskwright, you ("you", "the operator") agree to these Terms. Please read them carefully. If you do not agree, do not use the service.

1. The service

Taskwright is a business management system that helps tradespeople run their business — including capturing enquiries, sending quotes, booking jobs, sending reminders, invoicing, taking payments, requesting reviews, and rebooking clients.

We provide the service on a subscription basis. We may add, change, or remove parts of the service over time to improve it.

2. Your account

  • You must provide accurate information when signing up and keep it up to date.
  • You are responsible for keeping your login details secure and for all activity under your account.
  • You must be at least 18 years old and running (or setting up) a legitimate business to use the service.
  • You are responsible for your own use of the service and for your clients' data that you manage through it (see the Data Processing Agreement in Section 10).

3. Subscription, pricing, and payment

The standard subscription is £79 per month, including 200 SMS messages per month. Certain early customers may be on a founders rate of £39 per month, which is honoured for as long as their subscription remains active.

Payment is taken monthly in advance, from the day you subscribe, via Stripe.

Additional SMS bundles can be purchased as one-off payments. Purchased SMS credits do not expire and are used after your monthly included allowance.

Prices may change. We will give you reasonable notice of any change to your subscription price. Founders-rate customers keep their rate for as long as their subscription remains continuously active.

At present, prices are not subject to VAT — TSH Digital Ltd is not currently VAT registered, but this may change and prices will be updated to reflect that when required.

4. Money-back guarantee

We offer a 3-month money-back guarantee. If Taskwright is not working out for you within the first three months of your paid subscription, contact us at hello@taskwright.co.uk and we will refund your subscription payments. This guarantee applies to the subscription fee only (not to one-off SMS bundle purchases or optional add-ons).

5. Failed payments and suspension

If a subscription payment fails, we will notify you and give you a short period (currently 3 days) to update your payment details, during which you keep full access.

If payment is not resolved after that period, your account will be suspended. You will still be able to log in to update your billing and reactivate, but the service's features will be locked until payment is made.

Your data is retained during suspension and restored on reactivation, subject to Section 8.

6. Cancellation

You can cancel your subscription at any time. Cancellation takes effect at the end of your current billing period — you keep access until then, and you are not charged again.

You can reactivate a cancelled subscription before it lapses.

We may suspend or terminate your account if you breach these Terms, misuse the service, or use it unlawfully.

7. Acceptable use

You agree not to:

  • Use the service for any unlawful purpose or to send unlawful, abusive, or unsolicited messages (including spam or messages that breach PECR/GDPR marketing rules).
  • Send marketing messages to your clients without an appropriate lawful basis or consent where required.
  • Attempt to disrupt, reverse-engineer, or gain unauthorised access to the service.
  • Use the service to store or send content that is illegal, harmful, or infringes others' rights.

You are responsible for ensuring your use of SMS, email, and calling features complies with applicable law, including obtaining any necessary consents from your own clients.

8. Your data and your clients' data

Your business data (your account, jobs, invoices, etc.) belongs to you. You can export it at any time from within the service.

Your clients' data that you store and manage through the service is controlled by you. We process it on your behalf as your processor, under the Data Processing Agreement in Section 10.

On cancellation or termination, we will retain data as described in our Privacy Policy and the DPA. Financial records are retained for at least 6 years as required by UK law. Other data is deleted or returned within a reasonable period on request, subject to legal retention requirements.

9. Availability, liability, and warranties

We work hard to keep the service running reliably but do not guarantee it will be uninterrupted or error-free. We may carry out maintenance and updates.

The service is provided "as is". To the fullest extent permitted by law, we exclude implied warranties.

We are not liable for: indirect or consequential losses; loss of profits, revenue, or business; loss of data beyond our reasonable control; or the acts or omissions of third-party providers (such as SMS or payment providers).

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.

Our total liability to you in any 12-month period is limited to the subscription fees you paid us in that period.

10. Data Processing Agreement (DPA)

This section forms a Data Processing Agreement between you (the "Controller") and TSH Digital Ltd (the "Processor") in respect of the personal data of your clients that we process on your behalf. It applies in addition to our Privacy Policy.

10.1 Roles

For the personal data of your clients that you store and manage through Taskwright, you are the Controller and we are the Processor. You are responsible for having a lawful basis for collecting and using that data and for complying with your own obligations under UK GDPR.

10.2 Our obligations as Processor

We will:

  • Process your clients' personal data only on your documented instructions (which include your use of the service's features), unless required by law to do otherwise.
  • Ensure that people authorised to process the data are bound by confidentiality.
  • Implement appropriate technical and organisational security measures to protect the data.
  • Assist you, where reasonably possible, in responding to data subject requests and in meeting your security, breach-notification, and impact-assessment obligations.
  • Notify you without undue delay if we become aware of a personal data breach affecting your clients' data.
  • On termination, delete or return your clients' personal data as described in Section 8, subject to legal retention requirements.
  • Make available information reasonably necessary to demonstrate our compliance with this DPA.

10.3 Sub-processors

You authorise us to use the sub-processors listed below to help provide the service. Each is bound by data protection obligations. We will give you reasonable notice of any intended changes to our sub-processors, giving you the opportunity to object.

10.4 International transfers

Where a sub-processor processes data outside the UK, appropriate safeguards (such as the IDTA, the UK Addendum to the EU Standard Contractual Clauses, or an adequacy decision) are in place.

10.5 Duration

This DPA applies for as long as we process your clients' personal data on your behalf.

11. Intellectual property

All rights in the Taskwright service, software, branding, and content (other than your own data) belong to us or our licensors. You are granted a limited, non-exclusive, non-transferable right to use the service while your subscription is active. You may not copy, resell, or reproduce the service.

12. Changes to these Terms

We may update these Terms from time to time. We will post the updated version with a revised date and notify you of significant changes. Continued use of the service after changes means you accept the updated Terms.

13. Governing law

These Terms are governed by the laws of England and Wales, and any disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
